Terms and Conditions of Service for GrooveInspector (a subsidiary of iSelect Digital)

These Terms and Conditions (hereinafter referred to as "Terms") govern the use of the GrooveInspector (hereinafter referred to as "Website"), a subsidiary of iSelect Digital, which provides web development and design services (hereinafter referred to as "Services"). By accessing and using the Website, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, you must refrain from using the Website.

Service Agreement

1.1 Scope of Services: GrooveInspector, a subsidiary of iSelect Digital, offers web development and design services, including but not limited to website creation, maintenance, optimization, and customization. The specific details of the Services will be agreed upon between GrooveInspector and the client (hereinafter referred to as "Client") on a per-project basis.

1.2 Project Terms: Each project undertaken by GrooveInspector will have its own terms and conditions that will be specified in a separate agreement or contract, including project timeline, deliverables, fees, and any additional requirements.

Intellectual Property

2.1 Ownership: GrooveInspector and iSelect Digital retain all intellectual property rights to any pre-existing code, templates, designs, and other assets used in the provision of Services, unless otherwise specified in writing.

2.2 Client Content: The Client grants GrooveInspector and iSelect Digital a non-exclusive, royalty-free license to use any content provided by the Client for the purpose of completing the Services. The Client represents and warrants that they have all necessary rights to provide such content to GrooveInspector and iSelect Digital.

2.3 Deliverables: Upon completion of the Services, GrooveInspector will transfer ownership of the agreed-upon deliverables to the Client, subject to full payment for the Services rendered.

Confidentiality

3.1 Non-Disclosure: GrooveInspector and iSelect Digital agree to maintain the confidentiality of any proprietary or confidential information provided by the Client. GrooveInspector and iSelect Digital will not disclose such information to third parties without the prior written consent of the Client, except as required by law.

Payment

4.1 Fees: The Client agrees to pay GrooveInspector and iSelect Digital the fees as agreed upon in the project agreement or contract. Fees may include upfront payments, milestone payments, or periodic payments, as specified in the agreement.

4.2 Payment Terms: Unless otherwise specified, all invoices are due within 30 days from the date of issuance. Late payments may be subject to interest charges or suspension of Services until payment is received.

Limitation of Liability

5.1 Service Limitations: GrooveInspector and iSelect Digital strive to provide accurate and reliable Services, but do not guarantee that the Services will be error-free or uninterrupted. GrooveInspector and iSelect Digital shall not be liable for any damages or losses arising from the use or inability to use the Services.

5.2 Indemnification: The Client agrees to indemnify and hold GrooveInspector, iSelect Digital, and their respective officers, directors, employees, and affiliates harmless from any claims, damages, liabilities, or expenses arising out of the Client's use of the Services or any breach of these Terms.

Termination

6.1 Termination Rights: Either party may terminate the Services by providing written notice to the other party in the event of a material breach of these Terms. Termination shall not relieve the Client's obligation to pay for Services rendered prior to termination.

Governing Law

7.1 Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where GrooveInspector, as a subsidiary of iSelect Digital, is registered. Any legal actions arising from or related to these Terms shall be resolved in the appropriate courts of that jurisdiction.

Modifications

8.1 Changes to Terms: GrooveInspector, as a subsidiary of iSelect Digital, reserves the right to modify or update these Terms at any time without prior notice. The most current version of the Terms will be posted on the Website. Continued use of the Services after any modifications to the Terms constitutes acceptance of the updated Terms.
